Patrick W. Norton

Transactions

Patrick Norton joined Adams and Reese in 2009 and serves in the firm’s Transactions and Corporate Advisory Services Practice Group. He assists companies on matters pertaining to corporate governance, securities law, SEC reporting, and general corporate counseling.

 

Patrick also assists with employment law matters, including preparing defenses for employers on the agency, state, and federal level, on matters including retaliation, racial discrimination, and pregnancy discrimination, and providing compliance counseling for employers dealing with federal wage and hour regulations and non-compete covenants in employment contracts.

 

He received his Bachelor of Business Administration from Belmont University and his J.D. from the University of Tennessee College of Law, while completing the College of Law’s Concentration in Business Transactions.

 

At law school, Patrick served as the News and Publications Editor for Transactions for The Tennessee Journal of Business Law from 2008-2009 and authored The Importance of Having a Detailed Record for Contract Disputes, Ending Disputes Quickly to Reduce Prejudgment Interest, and Precise Language in Contracting for Attorneys’ Fees, 9 Transactions: Tenn. J. Bus. L. 271 (2007).

 

His significant contributions include:

 

  • Representing startup and emerging business clients with issues regarding software as a service (SaaS) licensing, contract drafting and negotiations, and corporate governance and regulatory compliance, as well as managing the client relationship.
  • Conducting SEC compliance and filings for public and private companies, including annual reports and proxies, quarterly reports, 8-Ks, ownership reporting, Rule 701 (offerings to employees), Regulation D offerings, and hedge fund formation, as well as other forms of corporate governance and compliance for both public and private companies.
  • Representing clients in the formation of corporations and limited liability companies, while also supporting restructurings such as recapitalizations, mergers, acquisitions, and conversions.
  • Named to 2011 Mid-South Super Lawyers Rising Stars.
  • Co-authored amicus curiae brief with the Innocence Project in support of defendant in Powers v. Tennessee, 343 S.W.3d 36 (Tenn. 2011).

 

In addition, Patrick completed Young Leaders Council, Class 57, and Nashville Emerging Leaders, Class of 2011. He also serves on the board of directors and as treasurer for the Napier-Looby Bar Foundation.

 

Patrick is involved in his church, serving on the media and finance ministries. Since college, where Patrick served as President of the Belmont College Democrats, he has been involved and remains active in local and state politics.
