Raymond G. Russell

Corporate / Securities / Mergers and Acquisition Team Leader

Raymond G. "Rusty" Russell is a partner with the firm’s Transactions and Corporate Advisory Services Practice Group and serves as Team Leader of the Corporate / Securities / Mergers and Acquisitions Practice Team. He practices in the areas of corporate law, commercial transactions, school law matters, public finance, new markets tax credits, economic development and banking, and counsels clients with regard to mergers and acquisitions, new entity formations, contracts, company governance and structuring matters, commercial disputes, bidding disputes, lending transactions and general corporate matters. Rusty frequently represents Fortune 500 companies as well as substantial private, local and regional companies. He has represented many nonprofit entities, including university foundations and private foundations. In June 2008, he was appointed to serve on the Mississippi Secretary of State’s Committee on Business Reform – LLCs and Partnerships.

Rusty's recent representation includes:

  • Assisted companies with several billion dollars in secured financing transactions.
  • For Fortune 100 companies, structured, drafted and negotiated significant contracts, including those used for national platforms.
  • Represented buyers or sellers in numerous company acquisitions and sales as well as significant asset acquisitions and sales.
  • Assisted with corporate governance matters, deal structuring and new entity formations.
  • Assisted companies with multi-million dollar disputes and regulatory matters, including creative solutions and steps to diffuse the situations.
  • Served as Underwriter's Counsel on several hundred million dollars of tax-exempt and taxable bond issues by the State of Mississippi.
  • Served as Bond Counsel on MBFC Revenue Bonds.
  • Served as Bond Counsel on numerous G.O. Bonds, 3 Mill Notes, Refunding Bonds, Certificates of Participation, Qualified School Construction Bonds, Qualified Zone Academy Bonds, Short fall Notes, Transportation Notes, Warrants and other bond issues.
  • Assisted governmental/public entities as well as private developers in economic development projects.
  • Assisted transaction participants in new market tax credit transactions.
  • Provided opinion letters required for closing numerous complex transactions.

In the area of education law, Rusty advises many public and private schools and universities on numerous school law matters including issuing bonds and other public finance matters, public bidding, school governance and contracts. He counsels public schools, municipalities and universities - public and private - with respect to the financial, securities and tax issues relating to the issuance of securities, including drafting official statements. In 2001, Rusty co-authored the Bonds-Public Finance chapter for an encyclopedia of Mississippi Law. He is a frequent speaker on education law matters including bond law, contracts and public bidding.

Rusty graduated with a Bachelor of Science in Finance from Louisiana Tech University in 1992. He earned his law degree, graduating third in his class, from Mississippi College School of Law, where he served as an Executive Editor of the Mississippi College Law Review. He also received an award for outstanding authorship of his published Law Review article.

In the community, Rusty has given extensively of his time to entities such as Habitat for Humanity, Wingard Home, Central Mississippi Crime Stoppers and Central Mississippi Legal Services. He is a member of Leadership Mississippi's Class of 2009.

Rusty is passionate about spending time with his family and friends, water sports (especially slalom skiing), and boxing.
