Rob G. Breunig

Employee Benefits / ERISA

Rob Breunig joined Adams and Reese in 2015 in the firm’s Nashville office.

Rob advises employers on all aspects of business planning and transactions, including employee benefit plans, health care reform compliance (PPACA), executive compensation and tax matters. Rob also supports the firm’s corporate and securities team on transactional matters.

In addition, Rob has experience advising employers on their privacy and information security obligations. With massive healthcare-related data breaches and privacy complaints in the headlines on a regular basis, data privacy and security are of utmost importance to employers. Because many aspects of employers’ health plans are regulated under HIPAA, and HIPAA concepts are followed in many other state and federal privacy and security laws, Rob’s experience in employee benefits provides a natural overlap.

Rob’s additional representative experience includes:

  • Corporate matters including business entity formations, mergers and acquisitions, tax-free reorganizations, partnership agreements, and director indemnification agreements.
  • Benefit plan design, administration, ongoing fiduciary compliance, and terminations, DOL and IRS voluntary correction programs, and DOL and IRS audit representation.
  • Tax-exempt entity design, exemption, and ongoing compliance, internal investment program design, and taxation and executive compensation planning.

Rob is admitted to practice in Tennessee, California and Nevada, and also before the United States Tax Court. He previously clerked for the California Office of the Attorney General and interned for the University of San Diego Legal Clinic Tax Appeals Assistance Program.

Rob earned both his J.D., in 2012, and his LLM, in 2013, from University of San Diego School of Law, where he also served as executive editor of the San Diego International Law Journal. Rob received his B.A., in 2006, from University of Massachusetts Lowell.

In his spare time, Rob enjoys hanging out with his kids, reading, woodworking and exercising.
