The Federal Reserve estimates the U.S. Commercial Real Estate (CRE) market is valued at $22.5 trillion, making it the fourth largest asset in the country behind equities, residential real estate, and treasury securities. In such a high-profile industry, our Adams & Reese attorneys have the required agility, connections, and industry knowledge to achieve successful, timely outcomes for clients who are keeping state and local economies moving forward through real estate transactions. We forge solutions that meet real-world requirements to help clients acquire, manage, invest in, and use assets more effectively, maximizing the flexibility needed to compete in today’s marketplace.

INDUSTRY CLIENTS

Adams & Reese real estate attorneys represent a diverse base of local, regional, and national clients, including commercial property owners and managers, investors, portfolio managers, developers, landlords, lenders, consultants, and government entities. We represent these parties in projects that include office buildings, shopping centers, retail spaces, industrial sites, healthcare facilities, hotels, multifamily developments, agriculture, and timberland acquisitions and dispositions. In the timberland sector, we represent some of the nation’s largest timber tract purchasers and sellers across the United States, Europe, and Latin America.

We understand the goals of closely held organizations that buy, develop, sell, or repurpose property, as well as those of real estate investment trusts and private equity funds. We also work with clients to draft and negotiate contracts with architects, contractors, subcontractors, leasing agents, landlords, tenants, investors, and any buying and selling parties in real estate transactions.

INDUSTRY EXPERIENCE

Our real estate attorneys maintain a broad industry acumen through active involvement in organizations such as the American College of Real Estate Lawyers, and we work with our government affairs team to leverage their strong connections and help clients navigate regulatory requirements, secure project approvals, meet environmental standards, and access economic development incentives. One of the strengths of Adams & Reese is our ability to work collaboratively and across practice areas; our property lawyers work with the construction, forestry, environmental, economic development, government relations, banking, public finance, tax, and M&A teams to solve all legal issues for clients. Industry experience includes:

Acquisitions and Development: We provide comprehensive legal counsel for complex acquisitions, including multiphase developments, mixed-use projects, and significant multifamily and industrial properties. Our team structures development agreements, limited liability company agreements, partnerships, and joint ventures to align, while navigating intricate land use and zoning regulations to ensure sustainable growth and compliance with all relevant requirements.

Financing and Credit Facilities: We assist financial institutions and developers with structuring and documenting their financing needs, from construction financing, permanent loans and other conventional credit facilities, to preferred equity investment and mezzanine financing. We also collaborate with lenders and investors to ensure compliance with regulatory standards and alignment with critical timelines.

Commercial Leasing: We represent landlords and tenants in office, retail, industrial, and land leasing matters, with experience in high-value and long-term arrangements. We advise on lease restructurings, modifications, and concessions, offering solutions to challenges posed by market volatility. We provide guidance on compliance issues, focusing on emerging markets like short-term rentals and specialized use leases.

Specialty Sectors: We offer targeted expertise in key real estate sectors. Our timberland practice handles acquisitions, sales, and regulatory compliance for properties across the United States, Europe, and Latin America. In manufactured housing, we support acquisitions, development, financing, tax structuring, and community conversions. For the hospitality and tourism industry, we assist with transactions, development incentives, and project approvals for hotels, resorts, and entertainment venues.

Represented a Nashville-based real estate developer before the Planning Commission to approve a 60-unit townhome complex. The transaction included subsequent infrastructure financing of $5 million. Our relationships with local and state planning commissions and regulatory bodies helped move this project from planning through completion.

We represented a Minnesota-headquartered property management, asset management, investment management, and development group on the acquisition and ownership/operation of retail space. The space includes multi-family student housing, health care, office, and retail projects.
