Overview
Jean-Paul Perrault (“J-P”) primarily works with businesses in the automotive, auto-finance, insurance, and financial industries. Regularly advising clients in the practical and compliant execution of their business strategies and managing their operational concerns, J-P assists clients nationally with general business, corporate, insurance regulation, and compliance matters. These include all aspects of corporate structure, formation, governance, financing, joint ventures, asset and stock sales/acquisitions, and divestitures and mergers. He often works closely with businesses in the automobile finance and FinTech sectors.
J-P’s insurance-focused experience includes representing insurance companies, producers, and lenders nationally regarding ancillary products in the automotive arena. He also represents insurers in structuring credit insurance policies and programs, related products, and services, as well as form, rate, and other filings. In addition, he regularly advises clients on mergers and acquisitions involving regulated insurance entities, particularly regarding change-of-control approvals.
Construction-related transactions and compliance are also part of J-P’s deep portfolio, as he has experience representing clients in construction contract negotiation (including AIA form documents), contractor licensing, construction-related compliance, and private and public works projects.

- Represented a financial services company in a 100% sale of a subsidiary insurance company with reinsurance issues.
- Represented a financial wellness service company in a capital investment transaction with a capital asset management company.
- Represented a financial technology company based in Colorado in structuring and negotiating a loan purchase agreement, requesting opinions to certain opinion parties, and the closing the transaction on an expedited schedule to coincide with the closing of an additional capital raise.
- Represented a statewide credit insurance business in preparing a credit insurance policy, along with all processes and documentation.
- Provided structure, advice, and consultation for a Detroit Big 3 manufacturer regarding the client’s initial foray into aftermarket sales of ancillary products.
- Served as main outside counsel for a Japanese Big 3 manufacturer’s captive finance company, providing structure, advice, and consultations for their restructure of credit insurance and guaranteed automobile protection processes from inception through cancellation, refund, and run off responsibility.
- Represented an owner/developer in contractor lien disputes with more than a dozen lien creditors on a 100+ acre major retail development.
- Represented clients in multiple 50-state research projects regarding credit insurance and related ancillary collateral protection products.
- Served as lead counsel in a complex public-private partnership transaction, representing a client in a complex public-private partnership transaction, including the development of a resort in Mississippi, that involved tax credits, governmental economic development incentives and guarantees, hotel franchise agreements, and more.
- Assisted a state government retirement system regarding its investments in a real estate and energy asset fund located in the Caymen Islands, providing assistance negotiating the investment transaction and its underlying documents, including the ultimate change to an on-shore approach for the investment vehicle itself.
- Represented a German automaker in restructuring the entire service contract documentation for a national program.
- Represented a client in purchasing a national vehicle warranty and service contract company, including change of control advice and approvals.
- Represented a start-up with $195 million in borrowings via private placement of notes and stock regarding corporate structure, interaction, and closing.
- Represented a heavy truck manufacturer in creating a 50-state warranty program.
- Helped a minority shareholders in a closely held bank holding company defeat management-offered amendments to reduce minority protections in the holding company’s structure.
- Represented a U.S.-based manufacturer and global distributor of surf products in an asset sale.
- Assisted an employee retirement fund regarding its investments in a real estate and energy asset fund located in the Cayman Islands, providing valuable insight in negotiating the investment transaction and its underlying documents.
- Represented several clients in large capital financing transactions under Reg D accredited investor registration exemptions.
- Represented a client in the negotiating and documenting a $95 million construction contract and $3.5 million architect contract in the context of a $200 million total project for new casino development.
- Represented a major credit insurance agency regarding national product implementation, development, and sales.
- Represented an environmental company in its $40-million divestiture involving the sale of a company with U.S. government procurement contracts and complicated by the seller’s ownership structure, including trusts and intellectual property rights to be transferred.
- Collaborated with a multidisciplinary team of transactional, real estate, commercial finance, and environmental lawyers in a complex agreement with a seller (and adjacent property owner) to complete a $9.4 million re-subdivision and purchase of the property in question.
