Overview
Kristi Wagley Richard advises and represents insurance companies and producers across the United States in the areas of insurance regulation and compliance. She regularly assists in the structuring of credit insurance policies and programs, ancillary products and services – especially ancillary products related to automobile financing – as well as form, rate, and other filings.
Kristi counsels businesses of all sizes in general business and corporate law, including entity formation, corporate governance, business contracts, vendor management contracts, and commercial finance, as well as asset and stock acquisitions and sales. She also advises small businesses regarding SBA certifications, construction businesses on contract negotiation and contractor licensing and compliance.
Kristi helps individual clients in the preparation of wills and trusts, succession planning, and other estate matters in Louisiana.
What Kristi enjoys most, and clients appreciate, is her careful examination of the nuances in laws and regulations and how she works closely with clients to meet their compliance obligations. Even in corporate transactional work, Kristi finds the kind of creative solutions that help businesses get off the ground, grow, and prosper.

Experience
- Served as local counsel and title agent regarding construction financing for a student housing project.
- Served as Local counsel and title agent regarding the acquisition of approximately nine separate parcels of land. The acquisition involved multiple owners and a complicated servitude parking agreement with the city.
- Served as Uniform Commercial Code counsel to telecommunications company and its subsidiaries in connection with a securitization of receivables transaction: issued approximately 20 UCC perfection opinions based on various states’ versions of the UCC in connection with at least two tranches of this transaction.
- Provided structure, advice, and consultation in representing a Detroit Big 3 manufacturer in the client’s initial foray into aftermarket sales of ancillary products. Product initiatives included motor vehicle service contracts, guaranteed automobile protection, tire and wheel protection, and more.
- Served as Uniform Commercial Code counsel to a telecommunications company and its subsidiaries regarding a securitization of receivables transaction: issued approximately 20 UCC perfection opinions based on various states’ versions of the UCC in connection with at least two tranches of this transaction.
- Served as Counsel to the purchaser in a multi-million-dollar acquisition of a regulated telecommunications company and its 18 subsidiaries, which included entity formation, equity injections, financing of the transaction, coordinating with several law and brokering firms.
- Served as national council on a mortgage lender project to expand offerings into title insurance in 30 jurisdictions.
