Overview
Rudy Aguilar advises on significant real estate and other corporate transactions throughout Louisiana, the Southeast, and nationally. He assists clients across a wide range of industries, including commercial real estate, hospitality, manufacturing, retail, healthcare, automotive, and many others. Rudy counsels real estate owners and developers in negotiating, documenting, financing, acquiring, and operating various mixed-use and other developments — among them hotel, retail, and condominium projects. He also brings extensive experience advising clients on general business matters related to commercial financing, industrial development from start-up to operation, regulatory matters, mergers and acquisitions, corporate governance, and contractual issues.
Rudy’s experience includes insurance regulation and finance matters across the United States. He has represented both individuals and entities in the acquisition and formation of insurance companies, including health, property, casualty, and life. He has also advised automobile manufacturers and heavy equipment manufacturers regarding ancillary insurance products sold to customers, such as licensing, regulatory issues, and reinsurance programs through captive insurers.
Before joining Adams & Reese, Rudy was a partner at a major national law firm, where he served as lead counsel on dozens of high-profile, complex transactions — regional, national, and global.
As a law student at Louisiana State University (LSU), Rudy was elected to the Order of the Coif. As an undergraduate in Finance at LSU, Rudy earned Phi Beta Kappa distinction.

- Lead counsel for a Native American Indian Tribe to secure the consent of the State of Louisiana to the transaction to close a bond issue and financing for casino operations.
- Lead counsel to an industrial vendor and its subsidiaries in connection with their primary $100,000,000 credit facility.
- Lead counsel to the seller of an industrial equipment company to a U.S. subsidiary of a Netherlands-based holding company.
- Lead counsel to an agricultural refinery regarding a term loan, bond facility, and refinancing of a working capital facility totaling $300,000,000.
- Lead counsel on creating a program for ancillary insurance products for an industrial heavy equipment manufacturer through a property and casualty insurer as the fronting company and reinsured back to the manufacturer’s captive insurance company.
- Acquisition of an industrial processing facility from a seller in bankruptcy.
- Local counsel in financing and acquiring a large industrial processing facility in South Louisiana from a seller in bankruptcy proceedings.
- Represented a university in Louisiana in securing liquor licenses to allow the sale of beer in the stadium for home football games.
- Represented a client in a complex public-private partnership transaction, including the development of a resort in Louisiana that involved tax credits, governmental economic development incentives and guarantees, hotel franchise agreements, and more.
- Represented major hotel owners in securing liquor licenses.
- Lead counsel on a 110-acre mixed-use development project.
- Represented a Louisiana limited liability company and related entities for the purchase of real estate-secured debt.
- On behalf of firm clients, assisted the firm’s lobbying effort to amend Louisiana law to allow commercial airlines to provision planes with alcohol.
- Lead counsel on developing, building, and operating IRC Section 42 multifamily housing complexes.
- Represented a property management company (a partner in the joint venture) regarding the acquisition of an office tower.
