Overview
Carter advises clients on commercial and transactional matters, with a practice grounded in contract drafting, negotiation, risk assessment, and deal structuring. What sets Carter apart is his complementary experience in construction law and commercial litigation, which gives him a practical, dispute-informed perspective on structuring deals.
On the transactional front, Carter drafts, reviews, and negotiates a wide range of commercial agreements of all varieties and values, including service agreements, vendor contracts, loan transactions, real estate acquisitions, M&A transactions, leases, and corporate formations. He structures deal terms and conducts due diligence across complex multi-party transactions, working collaboratively with cross-functional teams across the firm's offices to deliver business-oriented legal solutions on compressed timelines.
In the litigation arena, Carter advises clients on complex commercial litigation and contract disputes at all stages, from pre-suit demand correspondence through trial, including insurance coverage, construction claims, and breach of contract matters.
Carter also advises business stakeholders on contractual terms, risk allocation, liability exposure, and mitigation strategies. He translates his litigation experience into proactive contract risk counseling, helping clients structure agreements that minimize future dispute exposure.
Before joining Adams & Reese as an associate, Carter served as a judicial intern within the Alapaha Judicial Circuit, where he analyzed case law, drafted legal memoranda, and assisted with hearing and motion preparations for civil and criminal cases. Prior to law school, Carter worked in management for a large corporate business in the implementation and design of a new hospitality venture, experience he leverages to better serve business clients.
Carter graduated cum laude in 2022 from Florida State University College of Law, where he was a staff editor of the Florida State University Law Review, writing and research editor of the Journal of Transnational Law & Policy, and a competitor on the Jessup International Law Moot Court team. He earned his B.S. in Political Science, summa cum laude, from Kennesaw State University in 2018.

- Serves as deputy lead counsel for private equity backed roofing platform, providing ongoing institutional support in negotiating the fund’s nationwide portfolio company leases; implementing a uniform suite of customer contracts and subcontracts (including the creation of a negotiation playbook for use by sales directors in negotiating opportunities throughout the country); licensing issues; and re-negotiating or creatively terminating post-acquisition service vendor contracts, in order to streamline the fund’s verticals across the platform.
- Serves as lead counsel for Florida-based custom home and remodeling services company, both in litigation and dispute resolution, and implemented improvements to the company’s suite of contracts and ongoing operations and processes, which has resulted in a reduction of the onset of new litigation overall.
- Frequent representation of large lending institutions and real estate investment companies in issuing and securing multi-million-dollar loan transactions and in the acquisition and divestment of real estate in Texas, Florida, and beyond, with particular experience in analyzing and resolving title exceptions.
- Provides ongoing representation to the world’s largest broadline food distributor in the litigation and resolution of lien priority disputes throughout the country.
- Provides ongoing support for an American bank holding company and financial services corporation in collections activities and in facilitating workouts (including loan modifications, forbearance agreements, and amendments and novations).
- Provides ongoing support and counsel to general contractors and subcontractors in the negotiation of contracts and enforcement of remedies (including, where necessary, collections actions).
- Provides ongoing strategic counsel in the development and operation of community and homeowners’ associations, as well as commercial development projects throughout Texas and Florida.
- Provides ongoing corporate governance, operational advice, and compliance advice to companies in the safety, roofing, and home services industries.
- Served as deal lead in $27 million divestiture of a ten (10) restaurant franchise in an American multinational fast food restaurant chain.
- Co-chaired a 2023 construction-dispute trial, representing a commercial contractor and engineer with claims for breach of contract and lien foreclosure, resulting in a favorable $170,000 verdict, awarding all attorneys’ fees and costs, for the client. Prepared trial exhibits and demonstratives for presentation to the trier of fact, defended cross-examination of primary witness, prepared written closing statement.
