Overview
Josh Rojas is an Associate in the Nashville office of Adams & Reese and a member of the firm’s Corporate Services Practice Group and its Real Estate and Mergers & Acquisitions teams.
Josh represents clients across a wide range of industries, including transportation, logistics, warehousing, alcoholic beverage manufacturing, entertainment, and hospitality, in corporate transactions, regulatory compliance, and general business matters. Moreover, he advises middle-market clients on mergers and acquisitions, real estate acquisitions and dispositions, leasing, development, and financings, as well as corporate governance and regulatory compliance. He is skilled in structuring and negotiating complex purchase and sale agreements, joint ventures, and commercial leases; conducting and coordinating diligence, title and survey review, and land use/zoning analysis; and guiding clients through entity formation, restructurings, and capitalizations. He also advises on executive compensation, employee benefit plans, severance, equity, and other compensation arrangements, and counsels on securities compliance and investment diversification.
Through his summer clerkships, Josh gained experience researching, drafting, and revising memoranda on complex corporate matters and regulatory compliance issues. He also drafted pleadings and motions and supported litigation and trial preparation. In his judicial internship with the Hon. Judge Paul L. Huey of the Thirteenth Judicial Circuit, Josh conducted extensive legal research, reviewed case materials for accuracy, assisted in case management, and drafted judicial orders.
A High Honors graduate of the University of Tennessee College of Law, Josh served as a research assistant to Prof. Ben Barton, conducting legal research and drafting legal scholarship. Additionally, during his time at the University of Tennessee College of Law he served as Executive Editor of the Tennessee Law Review reviewing, editing, and publishing legal scholarship. Moreover, he served as a Teaching Assistant for Torts I and Torts II. He received the CALI Award in the Transactional Clinic and Entertainment Law and was co-champion of Baylor Law School’s The Closer National Transactional Law Competition.
As an undergraduate at the University of South Florida, Josh mentored transfer students through the USF Transfer Engagement & Achievement Mentorship Program, connecting them with university resources and campus opportunities.
Josh is a member of the Nashville Bar Association and the Tennessee Bar Association and looks forward to continued engagement in the Nashville legal community through professional organizations, pro bono service, and community initiatives.
